Refund & Cancellation Policy

1. Overview & Milestone Billing Philosophy

At CodeYB Studio (trading as codeYB — Code Your Business), we structure enterprise engineering engagements to eliminate financial uncertainty for founders, technical leaders, and enterprises. Rather than requiring opaque, non-refundable lump sums upfront, codeYB operates on a Milestone-Based Escrow Model.

Every project is broken into discrete sprints governed by an explicit Statement of Work (SOW). Funds are only released as each sprint milestone is deployed to staging, verified against acceptance criteria, and formally signed off by the Client.

2. 100% Refund for Uncommenced Milestones

✨ Zero-Risk Capital Security:

If a Client chooses to cancel an engagement or pause project scope prior to the formal kickoff of an upcoming sprint milestone, 100% of any funds deposited or held in escrow for that uncommenced milestone will be refunded in full.

Refund processing is initiated within 3 to 5 business days via the original payment method (wire transfer, ACH, SEPA, Stripe, or Razorpay).

3. Early Termination & Mid-Sprint Pro-Rata Calculation

Either party may terminate an active Statement of Work (SOW) upon five (5) business days written notice. In the event of mid-sprint cancellation:

• Pro-Rata Assessment: Work completed up to the effective notice date is audited against the sprint's technical milestones.
• Immediate IP Transfer of Completed Work: All completed commits, architecture designs, staging builds, and assets are transferred 100% to the Client.
• Balance Remittance: Any unutilized deposit balance exceeding the pro-rata value of delivered work is promptly refunded to the Client.

4. Staging QA, Client Acceptance & Milestone Release

Prior to milestone release:

1. codeYB deploys the completed sprint code to an isolated staging environment and supplies automated test execution logs.
2. The Client has a standard five (5) business day review window to test deliverables against agreed SOW acceptance criteria.
3. Upon formal written sign-off (or release of milestone escrow), the milestone fee is settled and codeYB delivers complete, irrevocable 100% Day-1 legal IP assignment and Git repository write access.

Because full legal intellectual property and source code are transferred immediately upon milestone acceptance, accepted milestone fees are non-refundable. Ongoing software reliability is safeguarded by our comprehensive 90-Day Post-Launch Warranty SLA described below.

5. Inclusive 90-Day Post-Launch Defect Warranty SLA

🛡️ Comprehensive Post-Deployment Protection:

Rather than leaving clients unprotected after project launch, every production delivery executed by codeYB includes an inclusive 90-day post-launch defect remediation warranty:

• Any bug, regression, or deviation from agreed technical specifications identified within 90 days of production deployment is resolved at zero additional fee.
• Critical production blockers receive sub-24-hour engineering turnaround.
• Warranty does not cover third-party upstream API outages, uncoordinated modifications made by external vendors, or post-delivery feature scope expansions.

6. Free Developer Utility Tools

All browser utilities available in the codeYB Tools directory (e.g. PDF Locker, JSON Formatter, Image Tools) are 100% free of charge with no credit card requirement, recurring charges, or hidden subscription billing. Consequently, refund claims do not apply to free developer utility tools.

7. Dispute Escalation & Governing Law

In the rare event of a disagreement regarding deliverable satisfaction or billing:

1. Tier 1 — Executive Escalation: The Client and codeYB Executive Leadership (CEO & CTO) engage in a direct video consultation within five (5) business days to review deliverable diffs and seek an amicable resolution.
2. Tier 2 — Independent Technical Review: If unresolved, parties may mutually designate an independent certified software architect to inspect git commits and staging artifacts.
3. Jurisdiction: Any formal legal proceedings arising from this policy shall be subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India under the laws of the Republic of India.
